Seller Marketplace Agreement
Rules for seller onboarding, KYC, listings, fulfilment, tax, returns, payouts, customer service and marketplace conduct.
1. Seller relationship
A marketplace seller operates as an independent merchant and is responsible for its business registrations, licences, products, taxes, invoices, employees and statutory obligations. Nothing here creates employment, agency or partnership unless separately agreed in writing.
2. Registration and authority
The person registering must be authorized to act for the seller and must provide accurate business, contact and payout information. Duplicate, impersonated or misleading seller accounts may be rejected or suspended.
3. KYC and verification
NOVYRA may require PAN, GSTIN where applicable, bank proof, identity/address documents, brand authorization or other evidence. Verification may be repeated when risk signals, payout changes or legal requirements justify it.
4. Account security
Sellers must protect passwords, use 2FA when available, review login alerts and restrict staff permissions. Sellers are responsible for authorized staff activity and must promptly revoke access for former or compromised users.
5. Listing accuracy
Listings must accurately describe title, brand, condition, images, specifications, variant, size, compatibility, price, tax, stock, warranty, country of origin and required legal disclosures. Misleading keywords or materially inaccurate photos are prohibited.
6. Authenticity and intellectual property
Sellers may list only genuine products they are legally entitled to sell. Counterfeit, pirated, stolen, trademark-infringing or unauthorized goods are prohibited. NOVYRA may request purchase invoices or brand authorization and may remove disputed listings.
7. Restricted and prohibited products
Sellers must comply with the NOVYRA Prohibited & Restricted Products Policy and all applicable licences. A seller must not evade moderation by renaming, bundling or miscategorizing prohibited goods.
8. Inventory and pricing
Stock, variant inventory and prices must be kept current. Sellers should avoid accepting orders they cannot fulfil. Repricing, flash sales, wholesale slabs and promotions must comply with applicable pricing and advertising rules.
9. Taxes and invoices
Sellers are responsible for correct HSN/SAC, GST/tax rate, place-of-supply information and seller invoice details where applicable. NOVYRA invoice tools are operational aids and do not replace the seller’s tax/legal responsibility.
10. Order fulfilment SLA
Sellers must accept, pick, quality-check, pack and mark shipments ready within the applicable handling time. Repeated late dispatch, cancellations, stock-outs or incorrect shipments may affect seller score, visibility, payout holds or account status.
11. Packaging and courier handover
Sellers must use suitable packaging, correct labels and accurate parcel weight/dimensions. Courier handover should be supported by scan, manifest, OTP/signature or other proof where available. Dangerous or undeclared goods must never be handed to a courier.
12. Delivery, NDR and RTO
Sellers must cooperate with courier re-attempt, non-delivery reports, address issues and return-to-origin workflows. Costs may be allocated according to platform policy, seller fault, customer fault and courier outcome.
13. Returns, exchanges and refunds
Sellers must honor eligible return/refund obligations and cooperate with reverse pickup and quality checks. Sellers may submit evidence for materially incorrect or fraudulent returns, but must not obstruct lawful customer rights.
14. Customer service
Sellers must communicate professionally, protect customer data, answer product/order queries promptly and avoid moving transactions off-platform to evade fees, protections or records.
15. Reviews and ratings
Sellers must not buy, fabricate, coerce or manipulate reviews or ratings. Seller replies must remain professional and must not expose customer personal information.
16. Fees and commission
NOVYRA may charge platform commission, fixed fees, advertising fees, shipping adjustments, payment fees or other configured charges. Applicable rates should be shown in Seller Center or a commercial schedule before deduction.
17. Settlements and reserves
Eligible delivered amounts may be held for a configured settlement period. NOVYRA may adjust or reserve amounts for refunds, chargebacks, RTO, disputes, penalties, fraud investigation or legal requirements. Sellers should reconcile payout reports.
18. Promotions and sponsored listings
Seller-funded coupons, campaigns and sponsored placements must be truthful and comply with platform promotion rules. Advertising spend or promotional discounts may be deducted according to the configured campaign terms.
19. Customer and platform data
Customer information may be used only to fulfil orders, provide support and meet legal obligations. Sellers must not sell, scrape, spam, profile or reuse customer data for unrelated purposes without lawful basis/consent.
20. Performance and fraud controls
NOVYRA may monitor cancellation rate, RTO, late dispatch, return patterns, authenticity complaints, fraud signals and customer outcomes. High-risk activity may trigger review, listing limits, payout holds or temporary restrictions.
21. Audits and records
Sellers should retain invoices, sourcing records, tax records, courier handover evidence and customer-support records for legally required periods. NOVYRA may request reasonable evidence to resolve disputes or comply with law.
22. Suspension or termination
Serious fraud, counterfeit goods, prohibited items, repeated SLA failure, security compromise, non-cooperation with legal requests or material policy breaches may lead to listing removal, payout hold, suspension or termination subject to applicable law.
23. Indemnity and liability
The seller is responsible for losses, claims or regulatory issues arising from its unlawful products, inaccurate listings, tax failures, IP infringement or seller-caused fulfilment issues, subject to applicable law and any separate commercial agreement.
24. Policy updates and disputes
NOVYRA may update marketplace policies and may require acceptance of a new version before seller operations continue. Disputes should first use platform support/escalation. Governing law and venue should be configured for the seller entity before launch.
